'All the best' or 'Kind regards' do the same job properly. The line after the sign-off matters more A closing phrase sets tone. Wollip Outreach, a platform for running outbound prospecting and outreach campaigns. This policy explains what personal information we collect, why we collect it, who we share it with, where it goes, and what you can do about it. It applies to our website, both products, and any other dealings you have with us. We handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Where we handle information about people in the European Union or the United Kingdom, we also apply the standards set out in section 12 . By using our website or our products, you agree to this policy. If you do not agree with it, please do not use them. 2 The three kinds of information we handle This distinction matters, so we have set it out plainly. (a) Information about you. If you visit our website, book a call, or open an account, we collect information about you directly. We decide how that information is used and we are responsible for it. (b) Information about your people. If you use Wollip Signatures, you upload details about the individuals in your organisation whose signatures you are building: their names, roles, contact details and photographs. Those individuals are usually your staff, not our customers. (c) Information about the people you contact. If you use Wollip Outreach, the platform handles information about the prospects you choose to target, which you either supply to us or direct the platform to source. For (b) and (c), you decide whose information enters the platform and what happens to it. We hold and process it on your instructions, for the purpose of delivering the product to you. We do not use it for our own marketing, we do not add it to any product or resale database, and we do not sell or rent it to anyone. Card details are entered directly with our payment processor, Stripe, and we never receive or store them. We do not collect sensitive information as that term is defined in the Privacy Act: health information, biometric information, racial or ethnic origin, political opinions, religious beliefs, sexual orientation, criminal record or union membership. Please do not send it to us. 3.2 Information you upload about your people (Signatures) Typically: full name, job title, email address, direct and mobile phone numbers, office location, headshot or profile photograph, social profile links, and your organisation's logo and brand assets. We use this solely to render, host and deliver the signature assets you have asked us to produce, and to make them available for you to install and manage. 3.3 Information handled through Outreach Typically: name, job title, employer, professional profile URL, business email address, and the content and status of messages sent through the platform. We use this solely to operate the campaigns you configure and to report results back to you. 3.4 Cookies and analytics We use cookies and similar technologies on our website and in the platform for three purposes: keeping you signed in and the product working; understanding aggregate usage so we can improve it; and, where you have consented, measuring the performance of our advertising. Strictly necessary cookies cannot be turned off without breaking the product. All others are optional and you can accept or reject them through the banner shown on your first visit, or change your mind at any time using your cookie settings . We use Google Analytics for analytics. You can also block or delete cookies through your browser settings, though this may affect how the site works. 4 How we collect it Directly from you, when you fill in a form, book a call, create an account, upload assets, or email us. Automatically, when you use the website or the platform, through cookies, server logs and product analytics. From third parties, in two situations: our payment processor tells us the outcome of your transactions; and, if you use Outreach, the platform may collect information about prospects from public professional sources at your direction. Where we collect information about an individual from a source other than that individual, and it is reasonable to do so, we take reasonable steps to make them aware of the matters set out in APP 5, including who we are, that we hold their information, and how they can contact us. That is one reason this policy is public. 5 Why we use it We use personal information to: create, secure and administer your account; deliver the product features you have signed up for; take payment, manage subscriptions and issue invoices; provide support and respond to your enquiries; monitor performance, fix faults and improve the products; detect, prevent and investigate fraud, abuse and breaches of our terms; send you service messages about your account, billing, security and material changes to the product (these are not marketing and you cannot opt out of them while you hold an account); send you marketing where you have opted in, which you can stop at any time; and comply with our legal obligations. We may create aggregated, de-identified statistics from usage data (for example, the average number of signatures per account) and use them to improve and describe our products. Once information is genuinely de-identified it is no longer personal information and this policy does not restrict its use. We do not sell personal information. We do not use automated decision-making that produces legal or similarly significant effects on any individual. 6 Your responsibilities for other people's information This section is important and forms part of our agreement with you. When you upload information about your staff, or run campaigns against a list of prospects, you are the one deciding whose information is collected and how it is used. Accordingly, you warrant that: you have the authority and any necessary consent or other lawful basis to provide that information to us and to have us process it as described in this policy; you have given the individuals concerned any notice required by the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth), the GDPR or the UK GDPR, or any other law that applies to you; your use of the platform complies with the Spam Act 2003 (Cth), including its consent, identification and unsubscribe requirements, and with the terms of any third-party platform you direct our product to interact with; and you will deal promptly with any request, complaint or objection from an individual whose information you have placed in the platform. If we receive a request or complaint from one of those individuals, we will generally refer it to you and assist you in responding, unless the law requires us to act ourselves. 7 Who we share it with We share personal information with the service providers that make our products work. Each is bound to protect the information and to use it only to provide services to us. The protections in section 8 apply to any disclosure outside Australia. We also share information: with our professional advisers (accountants, lawyers and insurers) where necessary and on a confidential basis; with a buyer or successor, if we sell or restructure the business, subject to them continuing to handle the information in a manner consistent with this policy; where you have asked or agreed that we do so; and where we are required or authorised by law, including in response to a court order, subpoena, regulatory demand or law enforcement request. Where we are permitted to tell you, we will. We will update the table above when our providers change. Material changes are notified under section 13 . 8 Overseas disclosure Some of the providers listed above store or process information outside Australia, principally in the United States and the European Union. Before disclosing personal information overseas, we take reasonable steps to ensure the recipient does not breach the Australian Privacy Principles, including by relying on the provider's contractual data protection commitments. By using our products, you acknowledge that information may be handled outside Australia. If you require Australian-only data residency, contact us at the address in section 15 before opening an account, as it may not be possible on all tiers. 9 How we protect it We take reasonable steps to protect personal information from misuse, interference, loss and unauthorised access, modification or disclosure. These include encryption of data in transit using TLS, encryption at rest with our infrastructure providers, role-based access controls so staff can only reach what their role requires, multi-factor authentication on administrative accounts, and regular review of access. No system is completely secure, and information transmitted over the internet is transmitted at your own risk. Keep your account credentials confidential and tell us immediately if you believe your account has been compromised. 10 Data breaches We maintain a data breach response plan. If we become aware of unauthorised access to, or disclosure or loss of, personal information we hold, we will assess it promptly. Where a breach is likely to result in serious harm to an affected individual, we will notify the affected individuals and the Office of the Australian Information Commissioner as required by the Notifiable Data Breaches scheme. Where the breach affects information you have placed in the platform, we will notify you without undue delay so that you can meet your own obligations. 11 How long we keep it Information Retention Account and profile information For the life of your account, then 90 days after closure Signature assets and uploaded images Deleted 30 days after account closure or on your request Prospect and campaign data in Outreach Deleted 30 days after account closure, or earlier on your request Billing and transaction records 7 years, as required by Australian tax and corporations law Support correspondence 2 years from last contact Marketing list membership Until you unsubscribe, then a suppression record indefinitely so we do not contact you again Server and security logs 12 months Signature GIF files are served from a content delivery network. Once you have installed a signature, copies of those files may persist in recipients' mailboxes and in cached copies for some time after deletion from our systems, and we cannot recall them. You can ask us to delete your data earlier than the periods above, and we will do so unless we are required to keep it. 12 Your rights You may ask us to: give you access to the personal information we hold about you; correct it, if it is inaccurate, out of date, incomplete, irrelevant or misleading; delete it, subject to the retention obligations in section 11 ; export it in a common machine-readable format; or stop sending you marketing, which you can also do using the unsubscribe link in any marketing email. Write to us at the address in section 15 . We will respond within a reasonable period, and in any case within 30 days. We do not charge for making a request, though we may charge a reasonable cost for providing access to a large volume of material. If we refuse a request, we will tell you why in writing and explain how to complain. If you are in the EU or the UK, you also have the rights to object to processing, to restrict processing, and to withdraw consent at any time without affecting the lawfulness of processing before withdrawal. Where we handle your information as a controller, we do so on the basis of your consent, the performance of our contract with you, or our legitimate interests in operating and securing our products. Where we handle information on a customer's instructions, we do so as a processor and that customer is the controller. You may complain to your local supervisory authority. 13 Changes to this policy We may update this policy. The current version is always available at wollipdesign.com.au/privacy with the effective date at the top. If a change materially affects how we handle your information, we will tell you by email or through the product at least 14 days before it takes effect. Continuing to use our products after that date means you accept the updated policy. 14 Complaints If you think we have mishandled your personal information, contact our Privacy Officer at the address below with the details and any supporting material. We will: acknowledge your complaint within 5 business days; give you an initial response within 10 business days; and aim to resolve it within 30 days, telling you if we need longer and why. A1 Agreement By accessing wollipdesign.com.au or any related site we operate (the Website), you agree to these terms. If you do not agree, do not use the Website. We may change these terms at any time by posting an updated version. Changes take effect when posted, except where Part B requires notice. If you have signed a separate written agreement with us for services, that agreement governs those services and prevails over these terms to the extent of any inconsistency. A2 Using the Website You may view and use the Website for your own information and for evaluating our products. You must not: copy, reproduce, republish or redistribute any part of the Website except as permitted by the Copyright Act 1968 (Cth); scrape, crawl, harvest or use automated means to extract content or data from the Website; attempt to gain unauthorised access to the Website or any system connected to it, or interfere with its operation; or use the Website for any unlawful purpose or in a way that could damage or overburden it. Part B Platform Applies additionally when you create an account for Wollip Signatures or Wollip Outreach (each a Product, together the Platform). B1 Who you are contracting as You must be at least 18 years old and have authority to enter these terms. If you are opening an account for a business, you do so on that business's behalf and bind it to these terms, and "you" means that business. The Platform is provided for business use. B2 Your account Keep your credentials confidential. You are responsible for everything done through your account. Tell us immediately at enquiries@wollip.au if you suspect unauthorised access. Where your plan includes multiple seats, you are responsible for the conduct of every user you invite, and you must not share a single seat between people. B3 Subscriptions, fees and renewal Plans. Wollip Signatures is available on a free tier and on paid tiers. Wollip Outreach is available on paid tiers only. Current pricing is on the Website. Billing. Paid subscriptions are billed in advance, monthly or annually as you select, through our payment processor Stripe. Fees are in AUD and, unless stated otherwise, exclude GST. Renewal. Your subscription renews automatically at the end of each billing period at the then-current price, unless you cancel before the period ends. We will email you a reminder at least 14 days before an annual renewal, and at least 7 days before any renewal at an increased price. Cancelling. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. You keep access until then. We do not refund part-used periods except where the Australian Consumer Law requires it or where clause B4 applies. Price changes. We may change our prices. We will give you at least 30 days' written notice before a change applies to you, and the new price takes effect at your next renewal. If you do not accept the change, you may cancel before it takes effect and will not be charged the new price. Seat changes. If you add seats mid-period, we charge a pro-rated amount for the remainder of that period. If you remove seats, the reduction applies from the next period. Late payment. If a payment fails, we will attempt to charge again and notify you. If payment remains outstanding after 14 days, we may suspend your account. We will give you notice before we do, and we will not delete your data during suspension for at least the period in our Privacy Policy . Free tier. We may change or discontinue the free tier at any time on reasonable notice. The free tier is provided on an as-is basis and clause B9 applies to it in full. B4 Changes to the Products We improve the Products continuously and may add, change or remove features. We will not make a change that materially reduces the core functionality of a paid tier without giving you at least 30 days' notice. If we do, and the change materially disadvantages you, you may cancel and we will refund the unused portion of any prepaid fees. B5 Acceptable use You must not use the Platform to: send messages that breach the Spam Act 2003 (Cth) or equivalent laws in the recipient's jurisdiction, including by contacting people without a lawful basis, omitting sender identification, or failing to honour unsubscribe requests; contact any person who has asked not to be contacted; send content that is unlawful, misleading or deceptive, defamatory, harassing, obscene, or that infringes anyone's intellectual property; impersonate any person or organisation, or misrepresent your affiliation with one; upload material you do not have the right to use, including logos, photographs and fonts; interfere with, overload, reverse engineer, decompile or attempt to derive the source code of the Platform, or circumvent any usage limit or security measure; resell, sublicense or provide the Platform to third parties as a service, unless we have agreed in writing; or use the Platform in breach of any law, or in breach of the terms of any third-party platform, network or service that the Platform interacts with at your direction. Third-party platforms. Wollip Outreach can be configured to operate on third-party platforms. Those platforms set their own rules about automation, access and data collection, and those rules may prohibit or restrict what you configure the Product to do. You are responsible for knowing and complying with the rules of any third-party platform you use the Product with, and for any consequence of breaching them, including restriction, suspension or termination of your accounts on that platform. We give no assurance that any particular use of the Product complies with any third-party platform's terms, and we are not liable for any action a third-party platform takes against you. Data you put into the Platform. You warrant that you have the right to provide us with all information you upload or direct the Platform to collect, and that you have met your own obligations under privacy and anti-spam law in relation to it. Section 6 of our Privacy Policy sets this out in more detail and applies as if repeated here. If we reasonably believe you have breached this clause B5, we may suspend your account immediately and without notice. We will tell you why as soon as we reasonably can, and give you an opportunity to fix it where the breach can be fixed. B6 Intellectual property Ours. We own the Platform: the software, infrastructure, templates, animation systems, designs and all improvements to them. Your subscription grants you a non-exclusive, non-transferable, revocable licence to use the Platform in accordance with these terms for the duration of your subscription. Nothing transfers ownership. Yours. You keep ownership of everything you upload: your logos, images, brand assets, copy and contact data (Your Content). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, transmit and display Your Content solely to operate the Platform and provide the Products to you. That licence ends when we delete Your Content in accordance with our Privacy Policy . Output. Signature assets generated for you from Your Content are yours to use for your business purposes for as long as you hold a subscription, and after cancellation you may continue to use signature assets already generated and installed. The underlying templates, animation systems and rendering technology remain ours and are not licensed to you separately. Hosted assets. Animated signature files are served from our content delivery network. If your account is closed or your subscription lapses, we may stop serving those files after 30 days, which will cause installed signatures to display broken images. We will warn you before this happens. Feedback. If you give us suggestions about the Products, we may use them without obligation to you. B7 Availability We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may take the Platform down for maintenance, and will give notice of planned maintenance where practicable. No service level commitment applies to any tier described in these terms. If you require a contracted availability level, contact us about an enterprise agreement. B8 Suspension and termination By you. Cancel at any time under clause B3 . By us. We may suspend or terminate your account if you breach these terms, if payment is not made, if we reasonably believe your use exposes us or others to legal risk or security risk, or if we are required to by law. Except where the breach is serious or urgent, we will give you notice and a reasonable opportunity to fix the problem first. We may also discontinue a Product on at least 60 days' notice, refunding the unused portion of prepaid fees. On termination, your licence ends, access stops, and we handle your data in accordance with the retention periods in our Privacy Policy . Export anything you need before your account closes. B9 Warranties, liability and the Australian Consumer Law Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Subject to that: The Platform is provided on an "as is" and "as available" basis, and we exclude all warranties not expressly given in these terms. We do not warrant that the Platform will meet your requirements, that campaigns run through it will produce any particular result, or that signature assets will display identically in every email client. Email clients render content differently and some strip or block images entirely. Where we are liable to you and the liability can lawfully be limited, our liability is limited, at our option, to resupplying the relevant services or paying the cost of having them resupplied. To the extent permitted by law, our total aggregate liability to you for all claims arising in connection with these terms in any 12-month period is limited to the fees you paid us in that period. If you are on the free tier, that amount is A$100. To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business opportunity, or loss or corruption of data, however arising. Your indemnity. You indemnify us against loss we suffer arising from your breach of clause B5 , from Your Content infringing a third party's rights, or from a claim by an individual whose information you placed in the Platform without a lawful basis. This indemnity is reduced to the extent our own act or omission caused the loss. B10 Confidentiality Each party will keep the other's confidential information confidential and use it only for the purposes of these terms. This does not apply to information that is public through no breach, was already known, or must be disclosed by law. B11 General Assignment. You may not assign these terms without our written consent. We may assign them to a related body corporate or to a buyer of our business. Notices. We may give notice by email to your account address or through the Platform. You give notice to us at legal@sunnybalcony.com.au . Force majeure. Neither party is liable for failure to perform caused by an event beyond its reasonable control, other than an obligation to pay money. Disputes. Before starting proceedings, the parties will use reasonable efforts to resolve any dispute by negotiation, and each will nominate a representative with authority to settle. This does not prevent either party seeking urgent interlocutory relief. Severance. If a provision is unenforceable, it is read down or severed and the rest continues. Entire agreement. These terms and the Privacy Policy are the entire agreement between us in relation to the Platform. Governing law. These terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of its courts. B12 Changes to Part B We may amend Part B. If an amendment materially affects your rights, we will give you at least 30 days' notice by email or in-product before it takes effect. If you do not accept it, you may cancel before it takes effect and we will refund the unused portion of any prepaid fees. Continuing to use the Platform after that date means you accept the amended terms.
